Last updated: template — pending legal sign-off.
Legal review pending
This is a working template. The final wording is awaiting sign-off from legal counsel and the Data Protection Officer before launch. It does not yet constitute the binding agreement.
1. Who we are
The Lumynio platform and website (www.lumynio.dev) are operated by NUWA LIMITED, Ground Floor, 71 Lower Baggot Street, Dublin 2, Ireland (VAT IE3666666EH) (“Lumynio”, “we”, “us”). These terms govern your access to and use of our website, SDKs and synchronisation services (together, the “Services”).
2. Acceptance of these terms
By accessing the Services you agree to these terms. If you are using the Services on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.
3. The Services
Lumynio provides real-time media-synchronisation infrastructure delivered as a communications platform (CPaaS) and software development kits. The Services are provided on a business-to-business basis. We may update, improve or change the Services over time.
4. Fees and payment
Fees are set out in your order or on our pricing page and are stated in EUR. Pricing may combine a recurring platform fee with metered usage, or be agreed on a per-event basis. Payment terms, billing frequency and any taxes will be specified in your order. Published figures are indicative until confirmed in a signed order.
5. Cancellation, refunds and complaints
You may cancel a recurring subscription in line with the notice period in your order; recurring fees already invoiced for the current period are non-refundable except where required by law. One-off, per-event engagements are governed by the cancellation terms in the relevant order. If something is wrong, contact us at hello@lumynio.dev and we will investigate complaints promptly and in good faith.
6. Acceptable use
You agree not to misuse the Services, interfere with their operation, or use them unlawfully or to infringe the rights of others.
7. Intellectual property
We retain all rights in the Services, our software and our brand. You retain all rights in your own content. Each party grants only the licences expressly set out in these terms or your order.
8. Warranties and liability
The Services are provided with reasonable skill and care. To the extent permitted by law, our aggregate liability is limited as set out in your order, and we exclude indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law.
9. Data protection
Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, a data-processing agreement will apply.
10. Governing law
These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction, without prejudice to mandatory consumer-protection rights.
